Terms of Use.
These Terms govern your access to and use of asolva.io and its informational, enquiry and scheduling features. The website is operated by UNITEC NORTH AMERICA LLC under the Asolva name (“Asolva,” “we,” “us” or “our”).
This is an improved publication draft based on Asolva’s existing Terms. Counsel should confirm the governing-law and venue provisions, liability language, Finalis requirements and the final publication date.
1. Acceptance of these Terms
By accessing or using the website, you agree to these Terms and acknowledge our Privacy Policy and Regulatory Disclosures. If you do not agree, do not use the website. You must be at least 18 years old and legally capable of agreeing to these Terms.
2. About Asolva
Asolva provides financial and strategic advisory, consulting, mergers and acquisitions, capital raising and related services. The precise scope, responsibilities, fees and regulatory framework for any engagement are established only in a separate written agreement executed by the appropriate parties.
Securities are offered through Finalis Securities LLC, Member FINRA / SIPC. UNITEC NORTH AMERICA LLC is not a registered broker-dealer, and Finalis Securities LLC and Asolva are separate, unaffiliated entities.
3. Informational purpose; no offer or advice
The website is provided for general informational purposes. Nothing on the website constitutes:
- an offer to sell or a solicitation of an offer to buy any security, investment product, asset or service;
- investment, legal, tax, accounting or other professional advice;
- a recommendation, endorsement or representation that any investment, strategy, counterparty or transaction is suitable; or
- a guarantee of financing, investor interest, diligence completion, transaction execution or any other result.
You should obtain advice from appropriately qualified professionals before making a legal, tax, accounting, financing or investment decision.
4. No client, advisory or fiduciary relationship
Viewing the website, contacting Asolva, submitting a form or scheduling a meeting does not create a client, advisory, brokerage, fiduciary, confidential or other professional relationship. No engagement begins unless and until the relevant parties execute a written agreement and any required compliance procedures are completed.
5. Website enquiries, forms and scheduling
The website may include forms and scheduling tools supported by third-party platforms such as GoHighLevel. You agree to provide information that is accurate, current and submitted with proper authority. We may decline, defer or stop responding to an enquiry in our discretion, subject to applicable law.
Do not submit highly sensitive, privileged or transaction-confidential information through an initial website form. A submission does not create a nondisclosure agreement or impose a confidentiality obligation beyond obligations separately accepted by us in writing or required by law.
Automated confirmations, calendar availability and workflow messages are administrative conveniences and do not constitute acceptance of a mandate, confirmation of an engagement or a promise to perform services.
6. Transactions, mandates and experience
Any description of an active mandate, transaction, client relationship, capital requirement, investment criterion or prior experience is subject to the qualifications and context stated on the website. An introduction, advisory assignment or active process is not the same as a completed financing or transaction. Past experience does not predict or guarantee future results.
Information concerning a potential opportunity may be incomplete, preliminary, confidential or subject to change. Independent diligence and appropriate approvals are required before any transaction decision.
7. Intellectual property
The website and its text, design, graphics, trademarks, logos, photographs, video, software and other materials are owned by or licensed to Asolva and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive and non-transferable right to access the website for lawful internal business and informational purposes.
You may not reproduce, modify, distribute, sell, license, scrape, republish, frame or commercially exploit website material without prior written permission, except for ordinary browser caching or a single copy retained for your lawful internal reference.
8. Acceptable use
You may not:
- use the website in violation of law or third-party rights;
- submit false, misleading, infringing, unlawful or malicious information;
- attempt to gain unauthorized access to the website, systems or data;
- introduce malware, disrupt website operation or bypass security measures;
- use automated tools to scrape, harvest or monitor the website where prohibited by law or our written instructions; or
- state or imply that Asolva, Finalis or another party endorses you, your business or a transaction without written authorization.
9. Third-party services and links
The website may contain embedded tools or links to third-party websites, including scheduling, communications, social-media and regulatory resources. Their availability, content and practices are controlled by the relevant third party. A link does not necessarily constitute endorsement. Your use of a third-party service may be governed by that provider’s own terms and privacy policy.
10. Website availability and changes
We may modify, suspend or discontinue any part of the website without notice. We do not promise that the website will always be available, uninterrupted, secure, current or error-free. We may correct content or technical errors at any time.
11. Disclaimers
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory. We disclaim implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant the accuracy, completeness, timeliness or usefulness of website content or third-party material.
12. Limitation of liability
To the fullest extent permitted by law, UNITEC NORTH AMERICA LLC, Asolva and their respective owners, officers, employees, contractors and agents will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, or for lost profits, revenue, data, opportunity or goodwill, arising from or related to the website or your reliance on its content.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Your sole remedy for dissatisfaction with the website is to stop using it.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless UNITEC NORTH AMERICA LLC, Asolva and their personnel from claims, losses and reasonable expenses arising from your unlawful use of the website, your material breach of these Terms, or information you submit without proper authority.
14. Privacy
Our Privacy Policy explains how we collect, use, disclose and protect personal information in connection with the website, forms, calendars and communications.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to any binding dispute-resolution provision separately agreed in writing, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over disputes arising from these Terms or the website, and you consent to their jurisdiction and venue.
16. Changes to these Terms
We may revise these Terms from time to time. The updated version will be posted on this page with a revised date. Your continued use of the website after a revised version is posted constitutes acceptance of the revised Terms to the extent permitted by law.
17. General provisions
If any provision is held unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. We may assign these Terms in connection with a merger, reorganization, financing, sale of assets or by operation of law. These Terms, together with the policies expressly incorporated by reference, constitute the agreement governing your use of the website and do not replace any separately executed client or transaction agreement.
